Terms and Conditions

Important Notice: This is an English translation provided for informational purposes only. The German version of these Terms and Conditions is legally binding. In case of any discrepancies between the German and English versions, the German version shall prevail.

1. Scope

1.1 These General Terms and Conditions (hereinafter “T&Cs”) apply to all contracts between Frontend GmbH, Zionskirchstraße 66, 10119 Berlin (hereinafter “Provider”) and the users of the platform (hereinafter “Customer”).

1.2 Deviating terms and conditions of the Customer shall not be recognized unless the Provider expressly agrees to their validity in writing.

2. Subject Matter and Scope of Services

2.1 The Provider offers the Customer a platform for conducting web scraping operations.

2.2 The specific service description is derived from the functions and tariffs displayed on the website at the time of contract conclusion.

2.3 The Provider reserves the right to expand, modify, or adjust the platform’s functions: a) In case of restriction of essential functions, the Customer has an extraordinary right of termination within 14 days after notification of the change b) Continued use after the 14-day period is considered acceptance of the changes

2.4 Temporary functional restrictions due to maintenance work, technical problems, or force majeure do not entitle to extraordinary termination.

3. Contract Formation

3.1 The presentation of products on the website does not constitute a legally binding offer but rather an invitation to place an order.

3.2 The contract is formed upon acceptance of the Customer’s order by the Provider. Acceptance occurs through the sending of a confirmation email.

4. Right of Withdrawal

4.1 Consumers have a statutory right of withdrawal.

4.2 The right of withdrawal expires for digital content when the Provider has begun execution of the contract after the consumer has:

  1. expressly agreed that the Provider may begin execution of the contract before expiry of the withdrawal period and
  2. confirmed their knowledge that they lose their right of withdrawal once contract execution begins.

5. Usage Requirements and Restrictions

5.1 The Customer is obligated to obtain permission from the respective website operator before conducting scraping operations.

5.2 The Customer is solely responsible for the legality of their scraping activities.

5.3 The Provider is entitled to log timestamps and scope of scraping operations for verification purposes.

6. Prices and Payment Terms

6.1 The prices displayed on the website at the time of contract conclusion apply.

6.2 Payment is processed through the payment service provider Stripe.

6.3 Billing occurs in advance for the respective billing period.

7. Payment Processing

7.1 Payment processing is handled by Stripe Payments Europe, Ltd.

7.2 Stripe’s Terms and Conditions and Privacy Policy (https://stripe.com/de/legal/consumer) additionally apply.

8. Customer Obligations

8.1 The Customer commits to:

  • Not conduct illegal scraping activities
  • Observe the target websites’ terms of use
  • Keep their access and license data confidential
  • Take appropriate technical precautions against misuse

9. Warranty and Liability

9.1 The Provider guarantees platform availability of 99% on annual average.

9.2 The Provider is not liable for:

  • Damages caused by misuse or illegal use by the Customer
  • Damages due to missing permissions from target websites
  • Outages due to force majeure
  • Damages due to data loss, insofar as data backup is not part of the agreed service scope

9.3 Liability is limited to intent and gross negligence.

10. Data Protection

10.1 The processing of personal data occurs according to our Privacy Policy.

10.2 The Customer is responsible for ensuring data protection compliance for data obtained through scraping.

11. Term and Termination

11.1 The contract runs indefinitely and can be terminated by either party with 30 days’ notice to the end of the month.

11.2 Customer termination must be sent via email to info@frontend-gmbh.de. The termination is only valid if sent from the email address registered in the customer account. Termination from a different email address will not be accepted.

11.3 The Provider will confirm receipt of the termination via email. If the Customer does not receive confirmation within 3 business days, they are obligated to contact the Provider.

11.4 The right to extraordinary termination for good cause remains unaffected for both parties.

12. Changes to the T&Cs

12.1 The Provider reserves the right to modify these T&Cs at any time.

12.2 Changes will be communicated to the Customer in text form.

12.3 The Customer has the right to object to the changes within 14 days.

13. Final Provisions

13.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

13.2 Place of performance and jurisdiction is Berlin, where legally permissible.

13.3 Should individual provisions of these T&Cs be invalid, the validity of the remaining provisions shall remain unaffected.
